1. Acceptance of Terms

By accessing or using the website, business software, and authorized third-party integrations (collectively, the "Software") provided by Wall Style Innovations Inc., you agree to these terms. If you do not agree, you must stop using the Software.

2. License Grant

Subject to these terms and any applicable fees, Wall Style Innovations Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Software for its intended purpose.

3. Account Registration and Security

Some features may require an account. You agree to provide accurate information, protect account credentials, and notify us of suspected unauthorized use or a security breach.

4. Restrictions on Use

You must not, or permit another person to:

Decompile, reverse engineer, or attempt to derive source code.
Modify, translate, or create unauthorized derivative works.
Rent, lease, sell, redistribute, or sublicense the Software.
Use the Software to build a competing product or service.
Use the Software unlawfully or to transmit malicious code.

5. Third-Party Services and Integrations

The Software may interoperate with third-party platforms, including Intuit QuickBooks. By authorizing an integration, you permit the information needed for that integration to be accessed, written, and synchronized. Third-party services are governed by their own terms and privacy policies, and Wall Style Innovations Inc. is not responsible for their availability, security, or data practices.

6. Intellectual Property Rights

The Software, website, code, interfaces, graphics, design, logos, and associated documentation are owned by Wall Style Innovations Inc. or its licensors and are protected by applicable intellectual-property laws. No ownership rights are transferred to you.

7. Updates and Modifications

We may modify, update, suspend, or discontinue the Software or part of it, subject to applicable law and any binding agreement.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WALL STYLE INNOVATIONS INC. AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF OR INABILITY TO USE THE SOFTWARE. AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT PAID TO WALL STYLE INNOVATIONS INC. IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Wall Style Innovations Inc. and its officers, directors, employees, and agents from claims, liabilities, damages, losses, costs, or expenses arising from unlawful use of the Software, violation of these terms, or infringement of another person's rights.

11. Termination

These terms remain effective until terminated. Access may be suspended or terminated for breach of these terms. On termination, your right to use the affected Software ends.

12. Governing Law

These terms are governed by the laws of Alberta and the federal laws of Canada applicable in Alberta. Disputes will be resolved in the courts located in Calgary, Alberta, unless applicable law requires otherwise.
